Terms of Service

01. Welcome

By visiting this site or signing in to Spicychat AI App you agree to the terms below. Please read them carefully. They form a legal agreement between you and Spicychat AI Labs.

02. Who Can Use the Service

You must be at least eighteen years old and legally able to enter into a contract in your country of residence. By creating an account you confirm both of those things.

03. Account Registration

You agree to give accurate information when you sign up, to keep it up to date and to keep your password private. You are responsible for everything that happens under your account.

04. Acceptable Use

You agree not to use Spicychat AI App to harass, threaten or harm others, to share illegal content, to scrape the platform, to attempt to reverse engineer our systems or to interfere with other users.

05. Companion Interactions

Companions are fictional characters generated by software. Their replies do not represent real opinions, advice or beliefs. Do not rely on them for medical, legal, financial or professional guidance.

06. Your Content

You keep ownership of the messages you write. You grant us a limited licence to store and display them inside your private vault so the service can function. We do not republish your content anywhere.

07. Content Restrictions

You may not submit content that is illegal in your country or ours, that depicts minors in any sexual context, that incites violence, that violates intellectual property rights or that contains real personal data of other people.

08. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual cycle. Charges renew automatically unless you cancel. You can cancel at any time from inside your dashboard.

09. Free Trials

We may offer free trials from time to time. Trials convert to a paid plan when they end unless you cancel before the trial date. We will remind you by email forty eight hours before the renewal.

10. Refunds

We offer a full refund within the first fourteen days of your initial paid subscription if you have not used premium features. After that, fees are non-refundable except where required by law.

11. Price Changes

We may adjust prices for new billing cycles. Existing subscribers receive at least thirty days notice by email before a price change takes effect.

12. Taxes

All prices are shown excluding applicable taxes. We collect VAT or sales tax where required by local law. Tax information appears on every invoice.

13. Cancellation by You

You can cancel a paid plan from your dashboard at any time. You will keep premium access until the end of the paid period. We do not pro-rate partial months.

14. Cancellation by Us

We may suspend or terminate your account if you breach these terms, if your payment fails repeatedly, or if continued service would expose us to legal risk. Where possible we will warn you first.

15. Service Availability

We aim for high uptime but we do not promise that the service will be uninterrupted. We may schedule maintenance windows and we will announce them in advance whenever practical.

16. Changes to the Service

We may add, change or remove features at any time. Major changes that affect paid plans will be announced at least thirty days in advance.

17. Intellectual Property

The software, the artwork, the companion designs, the brand name and the logo all belong to Spicychat AI Labs. You may not copy, redistribute or commercialise any of it without written permission.

18. Feedback

If you send us suggestions, ideas or improvements we may use them without any obligation to credit or compensate you. Sensitive feedback can be marked as confidential and we will treat it that way.

19. Third-Party Services

We rely on third-party providers for hosting, payments, email and analytics. Their terms also apply when you use the service. We choose partners who share our privacy standards.

20. DMCA and Copyright Complaints

If you believe content on Spicychat AI App infringes your copyright, email dmca@spicychat-ai.app with the required information and we will respond promptly.

21. Disclaimer of Warranties

The service is provided on an "as is" basis. We disclaim all warranties to the maximum extent permitted by law, including warranties of merchantability and fitness for a particular purpose.

22. Limitation of Liability

To the extent allowed by law, our total liability for any claim related to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

23. Indemnity

You agree to defend and indemnify Spicychat AI Labs against claims arising from your misuse of the service, your breach of these terms or your violation of any third-party right.

24. Export Controls

You agree not to use the service in a way that violates export control or sanctions laws of Germany, the European Union, the United Kingdom or the United States.

25. Privacy

Your use of the service is also governed by our Privacy Policy, which explains how we collect and protect your personal data.

26. Force Majeure

We are not liable for any failure to perform if the failure results from events beyond our reasonable control, including natural disasters, cyber attacks or government actions.

27. Assignment

You may not transfer your rights under this agreement without our consent. We may assign our rights to a successor in connection with a merger, acquisition or sale of assets.

28. Governing Law

These terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles. The courts of Berlin have exclusive jurisdiction over any dispute.

29. Severability

If a court finds any part of these terms unenforceable, the rest will continue in full force.

30. Changes to These Terms

We may update these terms from time to time. Material changes will be announced by email at least fourteen days before they take effect. Continued use after that date constitutes acceptance.

31. Entire Agreement

These terms and the Privacy Policy form the entire agreement between you and Spicychat AI Labs regarding the service and replace any prior agreement on the same subject.
